These Terms and Conditions ("Agreement") govern your use of the Everpine.ca website ("Website") operated by Everpine ("Company"). Please read this Agreement carefully before accessing or using the Website. By accessing or using the Website, you agree to be bound by these terms. If you do not agree to any part of this Agreement, you must not access or use the Website.

Acceptance of Terms

By accessing the Website, you confirm that you have read, understood, and agree to be bound by this Agreement. If you do not agree to these Terms and Conditions, you are not permitted to use the Website.

Intellectual Property

The Website, along with its original content, features, and functionality, is owned by the Company and is protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Use License

a. Permission is granted to temporarily access and use the Website for personal, non-commercial transitory viewing only. This license grants you access but does not transfer ownership, and under this license, you may not:

  • Modify or copy the materials;
  • Use the materials for any commercial purpose or public display (commercial or non-commercial);
  • Attempt to decompile or reverse engineer any software contained on the Website;
  • Remove any copyright or other proprietary notations from the materials; or
  • Transfer the materials to another person or "mirror" the materials on any other server.

b. This license will automatically terminate if you violate any of these restrictions and may be terminated by the Company at any time. Upon termination of this license or your viewing of these materials, you must destroy any downloaded materials in your possession, whether in electronic or printed format.

User Content

a. The Website may allow you to post, link, store, share, and otherwise make available certain information, text, graphics, videos, or other material ("User Content"). You are solely responsible for any User Content you post on the Website.

b. By posting User Content on the Website, you grant the Company a non-exclusive, royalty-free, worldwide, perpetual, and irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in any media.

Limitations of Liability

The Company and its suppliers shall not be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on the Website, even if the Company or an authorized representative has been notified of the possibility of such damages.

Indemnification

You agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, and expenses, including reasonable attorneys' fees, arising from your breach of this Agreement, your violation of any law, or infringement of any third party's rights.

Termination

The Company reserves the right to terminate your access to the Website at any time, with or without cause or notice, which may result in the forfeiture and destruction of all information associated with your account. Provisions of this Agreement that should survive termination, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability, will remain in effect.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the province of Nova Scotia, without regard to its conflict of law provisions.

Changes to Terms and Conditions

The Company reserves the right, at its sole discretion, to modify or replace these Terms and Conditions at any time. It is your responsibility to review this Agreement periodically. Your continued use of the Website following any modifications constitutes your acceptance of the revised Terms and Conditions.

Entire Agreement

This Agreement constitutes the entire understanding between you and the Company regarding your use of the Website and supersedes any prior agreements between you and the Company.
